1.0Acceptance of these terms

These Terms & Conditions (“Terms”) form a binding agreement between you and Webneuron, Inc., a company with its principal U.S. office at 3910 Park Avenue, Ste. 6, Edison, NJ 08820 (“Webneuron,” “we,” “us”). By accessing or using the Site you agree to these Terms and to our Privacy Policy. If you use the Site on behalf of an organization, you confirm you are authorized to accept these Terms for it. If you do not agree, please do not use the Site.

2.0Eligibility

The Site is intended for business professionals, prospective clients, partners, and job seekers aged 18 or older. You agree that the information you give us, including in forms and applications, is accurate, current, and your own to share.

3.0Acceptable use

You may use the Site for lawful purposes only. You agree not to:

• probe, scan, or test the vulnerability of the Site, or breach its security or authentication measures;
• interfere with the Site through malware, denial-of-service attacks, or excessive automated requests;
• scrape, crawl, or harvest content or data at scale, including to train machine-learning models, without our written permission;
• submit false, misleading, or someone else’s information, or impersonate any person or organization;
• send spam or unsolicited promotions through our forms;
• use the Webneuron name or brand to recruit people, request payments, or make offers we have not authorized;
• use the Site in a way that violates any law or the rights of others.

Found a security issue? We welcome responsible disclosure at security@webneuron.com. Please give us reasonable time to fix it before sharing it publicly.

4.0Intellectual property

The Site and its content, including text, graphics, logos, page design, case studies, insights, and software, are owned by Webneuron or its licensors and protected by copyright, trademark, and other laws. “Webneuron” and the Webneuron logo are trademarks of Webneuron, Inc. Third-party names and logos belong to their owners and appear for identification only.

We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site and to share or link to its pages for your personal or internal business use, with attribution. Any other use, including copying, modifying, republishing, or selling our content, requires our prior written consent.

5.0Your submissions and feedback

When you send us information through the Site, such as a project description or an application, you confirm you have the right to share it. Information submitted through public forms is not treated as confidential unless we have signed a non-disclosure agreement with you, so please don’t include trade secrets or sensitive details until one is in place. If you send us ideas or feedback, we may use them freely without obligation to you.

6.0Service engagements

Descriptions of services, solutions, delivery models, timelines, and results on the Site are for general information. They are not an offer, a quote, or a guarantee. All consulting, engineering, and talent engagements are governed exclusively by a separately signed agreement, such as a Master Services Agreement, Statement of Work, staffing agreement, or Data Processing Agreement. If those agreements conflict with these Terms, the signed agreement prevails.

Case studies reflect results for specific clients in specific circumstances. Your results will depend on your systems, scope, and constraints.

7.0Careers and candidates

• Job postings are invitations to apply. They are not offers of employment, and roles may be filled or withdrawn at any time.
• Any offer of employment or contract placement is valid only in writing from an authorized Webneuron representative and may depend on background checks, work authorization, and client approval.
• Webneuron is an equal-opportunity employer. We make decisions on merit, without regard to any characteristic protected by law.
• Recruitment fraud warning: we never ask candidates for fees, deposits, or payment for equipment or training. Genuine Webneuron recruiters use @webneuron.com email addresses. Report suspicious contact to careers@webneuron.com.

Our articles, guides, FAQs, and other content are provided for general information. They are not legal, financial, regulatory, security, or professional advice for your circumstances, and reading them does not create a client relationship. Technology, regulations, and best practices change, so content may not reflect the latest developments.

9.0Third-party links and tools

The Site may link to or embed third-party websites and tools, including social networks and scheduling services. We don’t control them and aren’t responsible for their content, availability, or practices. Your use of them is subject to their own terms.

10.0Disclaimers

The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, Webneuron disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.

11.0Limitation of liability

To the fullest extent permitted by law, Webneuron and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of or inability to use the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions don’t allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law. These limits apply to use of the Site only; liability for services is governed by your signed agreement.

12.0Indemnification

You agree to defend, indemnify, and hold harmless Webneuron and its affiliates, officers, employees, and agents from claims, losses, and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

13.0Governing law and disputes

These Terms are governed by the laws of the State of New Jersey and applicable U.S. federal law, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us at legal@webneuron.com and try to resolve the dispute informally for at least 30 days. If it isn’t resolved, the dispute will be heard exclusively in the state or federal courts located in Middlesex County, New Jersey, and both parties consent to their jurisdiction. Either party may seek urgent injunctive relief in any competent court to protect its intellectual property or confidential information.

14.0Changes and suspension

We may update these Terms from time to time. The “Last updated” date shows when they last changed, and continued use of the Site after that date means you accept the updated Terms. We may modify, suspend, or discontinue any part of the Site, or restrict your access if you violate these Terms, at any time.

15.0General terms

• Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us about the Site.
• Severability. If any provision is unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not transfer these Terms. We may assign them to an affiliate or successor.
• Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
• Export compliance. You will not use the Site in violation of U.S. or other applicable export control or sanctions laws.
